Terms of Use
UniFiX Technology
These Terms of Use ("Terms") govern access to and use of the UniFiX platform, including its associated
web application, mobile applications, APIs, and related services (collectively, the "Platform"), provided
by UniFiX Technology ("UniFiX," "we," "us," or "our"). These Terms apply to all organizations that
access the Platform under a separate written agreement with UniFiX (each, a "Client"), and to all
individual users who access the Platform on a Client's behalf (each, a "User").
These Terms establish general rules for using the Platform. They do not replace, and should be read
alongside, any separate signed agreement between UniFiX and a Client (a "Client Agreement"), which
governs matters such as pricing, term length, service levels, and other commercial terms. If a conflict
exists between these Terms and a Client Agreement, the Client Agreement controls with respect to the
subject matter it addresses.
1. Acceptance of Terms
By accessing or using the Platform, a Client and its Users agree to be bound by these Terms. If a User
does not agree to these Terms, that User must not access or use the Platform. A Client is responsible for
ensuring that its Users comply with these Terms.
2. Definitions
-
"Client Data" means all data, content, and information submitted to, stored in, or generated within the Platform by a Client or its Users, including asset records, ticket and maintenance data, vendor and warranty information, and reporting data.
-
"Platform" means the UniFiX software platform and all related applications, features, and services made available by UniFiX.
-
"User" means any individual authorized by a Client to access the Platform, including employees, contractors, and franchisee personnel.
3. Eligibility and Accounts
Access to the Platform is provided only to Clients with an active Client Agreement, and to Users
authorized by that Client. Each User must access the Platform using individually assigned login
credentials. Credential sharing between Users is not permitted.
Clients are responsible for promptly notifying UniFiX of any change in a User's authorization status,
including when a User should no longer have access to the Platform (e.g., following termination of
employment).
4. Account Security
-
Users must maintain the confidentiality of their login credentials and must not share them with any other person.
-
Users must promptly notify UniFiX or their organization's designated administrator of any suspected unauthorized access to their account.
-
UniFiX is not responsible for losses arising from a User's failure to safeguard their credentials.
5. Acceptable Use
The Platform is intended solely for internal business use related to the management of a Client's
properties, and only by individuals who are at least sixteen (16) years of age. Users agree not to:
-
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
-
Attempt to gain unauthorized access to any portion of the Platform, other Clients' data, or any system or network connected to the Platform. Interfere with or disrupt the integrity or performance of the Platform, including through introduction of malicious code.
-
Reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform, except to the extent such restriction is prohibited by applicable law.
-
Use the Platform to store or transmit content that is unlawful, defamatory, or infringing on the rights of any third party.
-
Resell, sublicense, or provide access to the Platform to any third party not authorized under a Client Agreement.
The Platform is not designed for the entry, storage, processing, or use of personally identifiable information ("PII"), including individuals' home addresses, dates of birth, or Social Security numbers. Users agree not to enter or store PII in the Platform. Users may enter the names of individual Users, employees, support staff, or authorized outside service providers, and by doing so represent that they are authorized to do so.
6. Client Data
As between UniFiX and a Client, the Client retains full ownership of all Client Data. UniFiX does not
claim ownership over Client Data submitted to the Platform, and Client Data shall not be disclosed,
distributed, or otherwise made available to any third party without the Client's prior written consent,
except as required to provide the Services or as otherwise set forth in the applicable Client Agreement.
UniFiX may access and use Client Data solely as necessary to provide, maintain, and support the
Platform, to provide customer support, and as otherwise permitted under the applicable Client Agreement.
Software architecture, configurations, or templates built by UniFiX within a Client's instance of the
Platform are not considered Client Data, provided they do not include information entered or provided by
the Client.
7. Intellectual Property
The Platform, including all software, design, features, and underlying technology, is owned by UniFiX
and is protected by applicable intellectual property laws. Except for the limited right to access and use the
Platform granted under a Client Agreement, no rights, title, or interest in the Platform are transferred to
any Client or User.
8. Third-Party Services
The Platform is hosted using third-party infrastructure and cloud service providers. UniFiX is not
responsible for outages or issues caused by the failure of third-party infrastructure providers, except as
otherwise addressed in a Client Agreement.
9. Availability and Support
UniFiX will make reasonable efforts to maintain the availability of the Platform. Specific service level
commitments, if any, are addressed in the applicable Client Agreement rather than in these Terms.
10. Term and Termination
These Terms remain in effect for as long as a Client's Client Agreement remains active, or for as long as a
User is authorized to access the Platform, whichever applies. UniFiX may suspend or terminate a User's
access to the Platform for violation of these Terms, subject to any applicable notice requirements in the
Client Agreement.
11. Disclaimers
The Platform is provided on an "as-is" basis. UniFiX expressly disclaims any warranties with respect to
the suitability or functionality of the Platform, uninterrupted access to the Platform, and any other
warranties that might otherwise apply, including warranties of merchantability, fitness for a particular
purpose, title, and non-infringement.
12. Indemnification
Indemnification obligations between UniFiX and a Client are addressed in the applicable Client
Agreement. These Terms do not create any additional or separate indemnification obligations for Users
beyond what is set forth in the Client Agreement between UniFiX and the applicable Client.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wisconsin,
without regard to its conflict of laws principles.
14. Changes to These Terms
UniFiX may update these Terms from time to time. Material changes will be communicated to Clients in
accordance with the notice provisions of the applicable Client Agreement. Continued use of the Platform
after changes take effect constitutes acceptance of the updated Terms.
